ELIGIBILITY:

The Pei Wei Asian Kitchen Peel & Reveal Instant Win 2026 (“Promotion”) is open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia (excluding Alaska, Hawaii, New York, and Rhode Island) as of date of participation. You must be eighteen (18) years of age or older to claim a prize that is only available via online prize redemption (as further described below). Promotion is valid at all participating Pei Wei Asian Diners within the US excluding airport, casino, college, and Pei Wei Asian Express locations. Call ahead to verify if a Pei Wei Asian Diner is participating Florida residents may only participate in Florida-based locations. Employees, officers and directors of Pei Wei Asian Diner, LLC (“Sponsor”), The Coca-Cola Company, Realtime Media LLC (“Administrator”) and their respective parent companies, affiliates, subsidiaries, advertising, contest, fulfillment and marketing agencies (collectively, the “Promotion Entities”), their immediate family members and those living in the same household as such individuals (whether legally related or not) are not eligible to participate in the Promotion or win a prize. For purposes of this Promotion, immediate family members are defined as spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren and their respective spouses, and those living in the same household shall mean people who share the same residence at least three (3) months a year, whether legally related or not. In the event that a household, based on address, enters the Promotion using more than five (5) unique email addresses, all of the Promotion entries associated with that household (determined by Sponsor or Administrator at their sole discretion) will be disqualified. Void in Alaska, Hawaii, New York, Rhode Island, and where prohibited by law. All federal, state, and local laws and regulations apply. By participating in the Promotion, you unconditionally accept and agree to comply with and abide by these “Official Rules” and the decisions of Sponsor, including the interpretation of these Official Rules, administration of the Promotion, selection of the winners, and Sponsor’s exercise of discretion, which will be final, non-appealable, and binding in all respects.

TIMING:

The Promotion begins on June 1, 2026 and ends on July 6, 2026, but is only available while Game Piece (defined below) supplies last (the “Promotion Period”). Game Pieces will not be distributed after July 6, 2026, even if supplies remain. All Game Pieces must be claimed and redeemed as further described herein either in-store (for prizes and offers available to be redeemed in-store) by store closing on August 10, 2026, or online (for prizes noted as requiring online redemption) between 12:00 p.m. Eastern Time (“ET”) on June 1, 2026 and 11:59:59 p.m. ET on August 10, 2026 (the “Redemption Period”). After such time, all Game Pieces will be void. Administrator’s computer is the official time-keeping device for the Promotion.

HOW TO PARTICIPATE:

There are two (2) ways to obtain an instant-win game piece (a “Game Piece”) during the Promotion Period, while supplies last:

Beverage Purchase at a Participating Pei Wei Asian Diner Location: During the Promotion Period, visit a participating Pei Wei Asian Diner location and purchase a beverage to receive one (1) Game Piece, while location supplies last. There is a limit of one (1) Game Piece per transaction regardless of how many beverages are included in the transaction. Beverages purchased with a Game Piece Offer (as further described herein) are not eligible to receive a Game Piece. However, beverages purchased by redeeming rewards points are eligible to receive a Game Piece.
Free Alternate Method: To obtain a Game Piece without making a beverage purchase, legibly hand-print your full name, full mailing address (no P.O. Boxes), email address, phone number, and birth date on a plain 3×5 inch paper (“Mail-In Request”). Mail both your completed Mail-In Request along with a self-addressed stamped envelope in an envelope to Pei Wei Asian Kitchen Peel & Reveal Game Piece Request: 1707 Market Place Blvd, Suite #300, Irving TX 75063. Each Mail-In Request must be mailed separately in a hand-addressed, stamped envelope AND include a self-addressed stamped return envelope. No photocopied or mechanically reproduced Mail-In Requests will be accepted. Sponsor is not responsible for postage-due Mail-In Requests or for any incorrect or illegible data contained in any Mail-In Entry. Mail-In Entries must be postmarked no later than July 6, 2026 and received by July 11, 2026 to be eligible to request a Game Piece in this Promotion. All Mail-In Requests become the property of Sponsor and will not be returned or acknowledged, and no correspondence will be entered into. If you take the steps above, you will receive one (1) Game Piece, subject to the limit below. Multiple Mail-In Requests from the same individual with the same postmark/sent date will be deemed one (1) request. Please allow two (2) weeks for Game Piece to arrive in your provided self-addressed stamped envelope. Sponsor is not responsible for any return envelope that is illegible, has incorrect postage, or for any delays in the postal service.

The Promotion Entities are not responsible for technical difficulties of any kind, or for false, incorrect, changed, incomplete or illegible contact information. Game Pieces are void if altered, tampered with, counterfeited, or obtained through unauthorized channels, or if they are not presented for redemption as set forth herein. Sponsor’s representatives reserve the right, in their sole discretion, to refuse any prize claims if the representative suspects fraud or that the Game Piece was otherwise altered, damaged, or destroyed. Lost, stolen, damaged, or otherwise unusable Game Pieces will not be replaced. Safeguard your Game Piece until verification is complete and your prize is delivered. Game Pieces have no cash value.

LIMIT: One (1) Game Piece per person per calendar day, regardless of method of request. Attempts made by the same individual to obtain more than the stated number of Game Pieces by using multiple or false contact information, accounts or otherwise may result in disqualification. Those who do not abide by these Official Rules or other instructions of Sponsor may be disqualified.

GAME PIECE REVEAL AND PRIZE CLAIMING:

Once you have obtained a Game Piece, peel off the backing of the physical Game Piece. If the Game Piece reveals a winning message that identifies a prize, as determined by Sponsor, you are the potential winner of the prize indicated, subject to verification of eligibility, validity of the Game Piece, and compliance with these Official Rules, including completion of an online prize claim and a Declaration (see below) as applicable. If a Game Piece does not reveal a prize, it will reveal a special offer that is a percent off your order total or $2 off an entrée at a participating Pei Wei Asian Diner location (each, an “Offer”). You must use the Offer before the end of the Redemption Period, or it will expire.

All participants who reveal a winning message on their Game Piece are subject to verification of eligibility and compliance with these Official Rules. You are not a winner of any prize, even if the Game Piece should so indicate, unless and until your eligibility and Game Piece have been verified, and you have received notification from Administrator and/or Sponsor that verification has been completed. Sponsor will not accept screenshots, photographs, or other evidence of winning in lieu of its validation process.

If a Game Piece indicates a free product prize or offer, you may present your Game Piece to the cashier during your order transaction for immediate redemption or enter the claim promo code printed on the Game Piece for online redemption at order.peiwei.com or in the Pei Wei mobile App. If you decide to wait to redeem your Game Piece for a future order, your Game Piece must be redeemed prior to close of business local time on August 10, 2026.

If a Game Piece indicates a prize requiring online redemption, follow the redemption instructions printed on the Game Piece, including visiting the website printed thereon to access the prize redemption website (the “Redemption Site”), entering the unique prize claim code printed on the Game Piece, and completing a prize redemption form (“Redemption Form”). Redemption Forms must be completed and submitted at the Redemption Site by 11:59 p.m. ET on August 10, 2026.

As part of the prize claim process, the potential winner of the Florida Trip (as defined below) will be required to sign and return a declaration of eligibility/release of liability/prize acceptance agreement (“Declaration”), within five (5) days of date of notification, as a condition of receiving the Florida Trip prize.

If any correspondence to a potential winner from the Sponsor or Administrator is returned as rejected, faulty, unclaimed, or returned as undeliverable to a potential winner; or if the a potential winner cannot be contacted within a reasonable time period, fails or refuses to sign and return the Redemption Form and/or the Declaration if applicable) within the required time period, and/or a potential winner is ineligible or otherwise fails to fully comply with these Official Rules; such potential winner will be disqualified, and the applicable prize will remain un-awarded. A potential winner becomes a “winner” only after verification of eligibility by Sponsor. In the event the potential Florida Trip prize winner is a resident of Alabama or Nebraska and under the age of nineteen (19), a parent or legal guardian may be required to also sign the Declaration in order for the winner to be qualified to receive the prize.

Game Pieces presented for redemption after the Redemption Period regardless of redemption method will not be honored.

If, for any reason, the Promotion is not capable of running as planned, Sponsor reserves the right, at its sole and absolute discretion, to cancel, terminate, modify or suspend the Promotion and/or proceed with the Promotion, including the selection of winners in a manner it deems fair and reasonable. In no event will more prizes be awarded than are stated in these Official Rules. In the event that, due to technical, typographical, mechanical, seeding, or other errors, there are more winners than are stated in these Official Rules, a random drawing among the claimants will be held to determine the winners. If for any reason, including but not limited to an administrative, printing, production, computer or other error or due to technical difficulties or incorrect announcements of any kind, more winning messages are distributed, or more prizes are claimed than are intended to be awarded according to these Official Rules, the intended prizes will be awarded in a random drawing from among all verified prize claims received.

PRIZES, OFFERS, ODDS, APPROXIMATE RETAIL VALUE (“ARV”), AND RESTRICTIONS:

There are approximately 100,000 total Game Pieces available in the Promotion: 20,000 in Florida, and 80,000 outside of Florida. 1,000 Game Pieces will be available per Pei Wei Asian Diner locations. There are twenty (20) Pei Wei Asian Diner locations in Florida. Sponsor is not responsible for a store location that closes during the Promotion Period. If a new Pei Wei Asian Diner location opens during the Promotion Period, it will not receive Game Pieces for distribution. Additionally, a quantity of Game Pieces will be randomly directed for Mail-In Requests. Prizes are randomly seeded as described below. Odds are set as of the outset of the Promotion and may vary as Game Pieces are distributed and prizes are claimed.

Online Redemption Prizes: The following prizes will require online redemption by 11:59 p.m. ET on August 10, 2026 as described herein and as instructed on the Game Piece. These prizes are randomly seeded across the universe of Game Pieces.

Trip to Florida Prize (1): The “Florida Trip” prize is a trip for four (4) people – the winner and up to three (3) guests (collectively, the “Group”) – to Florida. The Florida Trip prize includes: round-trip coach class air transportation for the Group from a major commercial airport near the winner’s residence (as determined by Sponsor) to an airport near the destination city in Florida (as selected by Sponsor); a $1,000 Hilton Hotels gift card to be used by the winner to book hotel accommodation at a winner-selected hotel in Florida; a $500 pre-paid card to be used by the winner for incidentals and other travel expenses; and three (3) day theme park admission tickets for each member of the Group to winner’s choice of Universal Studios of Walt Disney World. roundtrip coach airfare for the Group and a Hilton hotel gift card to be used by the winner to book accommodations at a location of their choosing. The prize also includes theme park admission for three (3) days to the winner’s choice of either Universal or Disney theme parks; park ticket dates are flexible but must be used prior to December 31, 2026. The prize winner will receive a $500 gift card to be used toward incidental expenses, including but not limited to food, transportation, or merchandise. Ground transportation is not included. The prize does not include any additional or special event access beyond standard park admission. Travel dates are flexible and subject to availability. Winner or accompanying guest must be at least twenty-five (25) years of age at the time of redemption due to lodging requirements. Only one (1) Florida Trip is available in the Promotion. The ARV of the Florida Trip is $4,000. The actual value of the Florida Trip may vary depending on the point of departure, point of arrival, and fluctuations in the cost of air transportation. Any difference between the ARV and the actual value of a prize will not be awarded. The Florida Trip winning Game Piece is seeded across the universe of all Game Pieces available in the entire Promotion. The odds of winning the Florida Trip is 1 in 100,000.

At least one (1) member of the Group must be at least twenty-five (25) years of age in order to book hotel accommodation. Winner will be solely responsible for booking all hotel accommodation. Gift cards and pre-paid cards are subject to the issuer’s terms and conditions and will not be replaced if lost, stolen, or destroyed. If the winner resides within a 100-mile radius of Orlando, Florida, as determined by Sponsor in its sole discretion, ground transportation may be provided in lieu of air transportation, and no compensation will be provided for any difference in prize value. Travel dates and theme park admission is subject to availability; blackout dates and other restrictions may apply. Travel must be completed by December 31, 2026. Each member of the Group is responsible for having a valid Real ID or valid passport as required for air travel. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Sponsor reserves the right to structure travel routes, select hotels, and all other aspects of the prize in their sole and absolute discretion. The winner is responsible for all travel expenses not expressly included herein, including ground transportation, parking, airline baggage fees, gratuities, meals, souvenirs, and any other incidental costs or expenses related to participation in the Florida Trip. In the event the winner elects to take part in the Florida Trip with fewer than three (3) guests, no additional compensation will be awarded in lieu of the unused prize components. Once a guest is selected, he/she may not be substituted, except in Sponsor’s sole and absolute discretion. Each guest must sign and return a travel liability release before travel will be booked. Each member of the Group hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance for any part of the Florida Trip. No changes will be made to travel details once any element of the travel arrangements have been booked, except at Sponsor’s sole discretion. The winner will be required to provide a major credit card upon hotel check-in, and all in-room charges will be charged to the credit card. Any damage to the room will be the responsibility of the winner. Sponsor bears no responsibility if any event, element, or detail of the Florida Trip is canceled, postponed, or becomes unavailable for any reason whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers, or any other persons providing any prize-related services or accommodations. Sponsor is not liable for any missed prize events, or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor. Should any event, element, or detail of the prize become unavailable, the Sponsor shall have no obligation to the winner aside from providing the remaining portion of the prize, minus any unavailable event, element, or detail. Sponsor is not responsible if any event is delayed, postponed, or canceled for any reason. Florida Trip prize components (including all gift cards, pre-paid cards, and tickets) are awarded exclusively to the winner and may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated, or otherwise conveyed.

Pei Wei For a Year Prize (2): Each “Pei Wei For a Year” prize consists of one (1) free entrée credited to the winner’s Pei Wei Rewards account each week for fifty-two (52) consecutive weeks. Credits will be issued on a weekly basis and are valid for seven (7) days from the date of issuance. Unused weekly credits will expire and do not roll over. Valid only at participating Pei Wei locations, excluding airport locations, college campus locations, and mall locations. The total maximum ARV of each Pei Wei For a Year prize is $753.48, calculated based on the highest-priced entrée available being redeemed each week. Actual value may vary depending on entrée selection. Winner must be a registered member of the Pei Wei Rewards program and maintain an active account to receive and redeem the weekly entrée credits. Failure to maintain an active account may result in forfeiture of remaining credits. Entrée credits are non-transferable and may be subject to additional terms and conditions of the Pei Wei Rewards program. Coca-Cola Swag (10): Each “Coca-Cola Swag” prize is 1 Coke branded cooler backpack. Ten (10) total Coca-Cola Swag prizes are available in the Promotion. The ARV of each Coca-Cola Swag prize is $25. Each Coca-Cola Swag winning Game Piece is seeded across the universe of all Game Pieces available in the entire Promotion. The odds of winning a Coca-Cola Swag prize is 1 in 10,000.

Free Product Prizes: The following prizes are redeemable in-store, online at order.peiwei.com, or in the Pei Wei mobile App, or as described herein and as instructed on the Game Piece. You must redeem these prizes in-store or online/in-App by close of business on August 10, 2026.

The stated ARVs for food prizes described above are estimated as of March 2026 and are based upon average prices across all store locations.

Total ARV of all prizes available in the Promotion is $341,456.96. The ARV of all prizes available in Florida is up to $72,896.96.

Offers: All remaining non-winning Game Pieces distributed in the Promotion will include one (1) of the following Offers:

In the event that Sponsor is unable to provide a prize or prize component, the Sponsor may elect to provide winners with the approximate value of such item in cash or award an alternate prize of comparable or greater value. Prizes are awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Each winner will be solely responsible for all federal, state, and/or local taxes, and for any other fees or costs associated with the prize received, regardless of whether it, in whole or in part, is used. The value of the Florida Trip prize will be reported for tax purposes as required by law. The Florida Trip winner will be required to provide Sponsor with a valid social security number before the Florida Trip will be awarded for tax reporting purposes. An IRS Form 1099 will be issued in the name of the Florida Trip winner for the actual value of the Florida Trip received. Any unclaimed prize will be forfeited. Prizes, if legitimately claimed, will be awarded. The Promotion Entities are not responsible for and will not replace any lost, mutilated, or stolen prize or any prize that is undeliverable or does not reach a winner because of an incorrect or changed address. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited, and the Promotion Entities will have no further obligation with respect to that prize or portion of the prize. The ARV of the prizes is based on available information provided to Sponsor as of the time these Official Rules are printed and may fluctuate. The Promotion Entities are not responsible for, and winner will not receive the difference, if any, between the actual value of the prizes at the time of award and the stated ARV in these Official Rules or in any Promotion-related correspondence or material. Sponsor will attempt to fulfill all properly claimed prizes requiring online redemption within approximately four (4) to six (6) weeks after winner verification. All in-store prizes must be redeemed by August 10, 2026 or will be forfeited.

GENERAL:

The Promotion Entities do not assume any responsibility for any disruption in the Promotion, including, but not limited to, the failure or interruption of any social media platform or any internet service provider. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Promotion materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. In the event Sponsor is prevented from continuing with the Promotion by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Promotion by any party, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Promotion or prize. Sponsor additionally reserves the right, in its sole and absolute discretion to modify, suspend or terminate the Promotion should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Promotion.

CONDUCT:

The Promotion Entities are not responsible for the actions of entrants in connection with the Promotion, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Promotion. The Promotion Entities reserve the right, at their sole discretion, to disqualify (or terminate the prize of) any individual who is found to be, or suspected of, acting in any manner deemed by the Promotion Entities to be in violation of the Official Rules, or to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person, or to be tampering with the entry process or the operation of the Promotion, and void all associated entries and/or registrations. CAUTION: ANY ATTEMPT BY A USER, YOU OR ANY OTHER INDIVIDUAL TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE PROMOTION ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

WAIVERS AND DISCLAIMERS:

The Promotion Entities assume no responsibility or liability for: (a) lost, late, stolen, undelivered, inaccurate, incomplete, delayed, misdirected, damaged or garbled requests, redemptions, URLs, or emails; (b) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (c) any unauthorized access to, or theft, destruction or alteration of entries or registrations at any point in the operation of this Promotion; (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, cable, satellites, servers, computers or providers utilized in any aspect of the operation of the Promotion; (e) inaccessibility or unavailability of the Internet or the website or any combination thereof or for computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Promotion, including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion, the processing of entries, social networking posts, or registrations, the announcement of the prizes, or in any other Promotion-related materials; or (f) any injury or damage to entrants or to any other person’s computer which may be related to or resulting from any attempt to participate in the Promotion. If, for any reason, the Promotion (or any part thereof) is not capable of running as planned for reasons which may include, without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, then the Promotion Entities reserve the right at their sole discretion to cancel, terminate, modify or suspend the Promotion in whole or in part. If terminated, the Promotion Entities will award the prizes in a random drawing from among all non-suspect, eligible entries received for the Promotion up to the time of such action.

RELEASES:

All entrants, as a condition of participation in this Promotion, release, discharge, indemnify and hold harmless the Promotion Entities, and each of their respective directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all liability, claims, costs (including attorneys’ fees), losses, damages, fines, or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, in connection with: (i) participation in any aspect of the Promotion (including travel to/from any Promotion activity), (ii) the receipt, ownership, use or misuse of the prize awarded, including any travel associated with any prize, (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; (iv) entrant’s registration material on any related website, or (v) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Promotion activity and/or prize.

GOVERNING LAW AND LIMITATION OF LIABILITY:

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants, Sponsor or the Released Parties in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE PROMOTION, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

DISPUTE RESOLUTION:

The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of Texas, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Promotion shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of Texas. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Texas. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

ENTRY INFORMATION AND PROMOTION COMMUNICATIONS:

As a condition of entering the Promotion, each entrant gives consent for Sponsor to obtain and deliver his or her name, address, and other information to third parties for the purpose of administering this Promotion and to comply with applicable laws, regulations, and rules. Any information an entrant provides to Sponsor may be used to communicate with the entrant in relation to this Promotion or on a Promotion winner’s list. By participating in the Promotion, entrant agrees to all of the terms and conditions of the Sponsor’s Privacy Policy, which is available at https://www.peiwei.com/info/privacy/. In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern.

MISCELLANEOUS:

The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
